Terms of Use

1. Acceptance of Terms

By accessing or using Murmurd (“Service”), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our Service.

2. Description of Service

Murmurd is an async team communication platform that provides:

  • Daily check-in management
  • Escalation routing
  • Priority tracking
  • AI-powered weekly summaries
  • Slack integration

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use Murmurd. By registering, you represent that you meet these requirements.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

3.3 Organization Accounts

If you create an account on behalf of an organization, you represent that you have authority to bind that organization to these terms.

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Scrape or collect data without authorization
  • Impersonate others or misrepresent your affiliation
  • Use the Service to harass, abuse, or harm others

5. Payment Terms

5.1 Billing

  • Pro plans are billed monthly or annually in advance
  • Per-seat charges are prorated for mid-cycle additions
  • All fees are non-refundable except as specified

5.2 Price Changes

We may change our prices with 30 days’ notice. Price changes will take effect at your next billing cycle.

5.3 Taxes

You are responsible for all applicable taxes. We will add tax to invoices where legally required.

6. Intellectual Property

6.1 Our Rights

Murmurd and its content, features, and functionality are owned by us and protected by intellectual property laws.

6.2 Your Content

You retain ownership of content you submit to the Service. By submitting content, you grant us a license to use, store, and process that content to provide the Service.

6.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.

7. Data Privacy

Your use of the Service is also governed by our Privacy Policy. By using Murmurd, you consent to our data practices as described therein.

8. Third-Party Services

The Service may integrate with third-party services (Slack, AI providers, etc.). Your use of those services is subject to their respective terms and policies.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

Our total liability for any claims arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your violation of these terms
  • Your violation of any third-party rights

12. Termination

12.1 By You

You may cancel your subscription at any time from your account settings. Your access will continue until the end of your current billing period.

12.2 By Us

We may suspend or terminate your access for:

  • Violation of these terms
  • Non-payment of fees
  • Extended inactivity
  • As required by law

12.3 Effect of Termination

Upon termination:

  • Your right to use the Service ends immediately
  • Your data will be retained for 30 days, then deleted
  • Outstanding fees remain payable

13. Changes to Terms

We may modify these terms at any time. We will notify you of material changes via email or in-app notice. Continued use after changes constitutes acceptance.

14. Governing Law

These terms are governed by the laws of Germany. Any disputes shall be resolved in the courts of Berlin, Germany.

15. Miscellaneous

  • Entire Agreement: These terms constitute the entire agreement between you and Murmurd.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
  • Waiver: Failure to enforce any right does not waive that right.
  • Assignment: You may not assign your rights without our consent.
